Welcome to Bit2Byte ("we", "us", "our"). By engaging our web design services or using this website, you ("you", "the client", "the user") agree to be bound by the Terms & Conditions set out below. Please read them carefully. If you do not agree with any part of these terms, please do not use our website or our services.
01Acceptance of Terms
These Terms & Conditions form a legally binding agreement between you and Bit2Byte. By placing an order, making a payment, or otherwise engaging us, you confirm that you have read, understood, and accepted all of the terms listed here, as well as any additional terms communicated to you in writing for a specific project.
If you are entering into this agreement on behalf of a company or organisation, you represent that you have the authority to bind that entity.
02Our Services
Bit2Byte provides premium website design, development, and related digital services. The precise scope of work for each project is defined in a separate proposal, invoice, or written agreement shared with the client before work begins.
Unless explicitly stated otherwise in writing, the following are not included by default and may incur additional charges:
- Custom backend development or database work
- E-commerce functionality and payment gateway integration
- Ongoing website maintenance and content updates
- Logo design, branding, and graphic design beyond what is agreed
- Search engine optimisation (SEO) and digital marketing services
- Third-party software, plugins, hosting, or domain registration fees
03Quotes & Pricing
All quotes provided by Bit2Byte are valid for a period of 14 days from the date of issue, unless otherwise stated. Prices are subject to change after this period without prior notice.
Any prices displayed on promotional materials, advertisements, or our website are indicative only and may be revised based on the final, agreed scope of work. The final price payable is the amount stated in the invoice issued to you.
04Payment Terms
Project timelines begin only after the agreed advance payment has been received in full. Unless agreed otherwise, our standard payment schedule is:
- Advance: A non-refundable booking amount is required to confirm the project and reserve a slot in our schedule.
- Milestones: Additional payments may become due at agreed project milestones.
- Final Balance: The remaining balance is payable before the final website is launched or handed over.
All payments must be made in full as per the agreed schedule. Any applicable taxes, payment gateway fees, or currency conversion charges are the responsibility of the client. Invoices not paid within 7 days of their due date may result in the project being paused until payment is received.
05Project Scope & Revisions
Each project includes a defined number of design revisions as specified in your proposal. A revision refers to a set of reasonable changes requested by the client on the design work presented.
Any change or addition to the original agreed scope (including new pages, features, functionality, or content) will be treated as a separate piece of work and quoted independently. We will always seek your approval in writing before undertaking any out-of-scope work.
06Client Responsibilities
To enable us to deliver your project on time, you agree to provide, in a timely manner:
- All content required for the website, including text, images, logos, and branding assets
- Access to any existing domain, hosting, or third-party accounts where required
- Clear, consolidated feedback on designs and deliverables
- Confirmation and approval at each agreed project milestone
Delays in providing the above may impact the agreed delivery timeline. Bit2Byte is not liable for project delays caused by late or incomplete input from the client.
07Timelines & Delivery
Estimated delivery times provided by Bit2Byte are indicative and based on the agreed scope and the client meeting their responsibilities on schedule. They are not guaranteed deadlines unless explicitly agreed in writing.
We will always strive to deliver projects on or before the estimated date and will keep you informed of any changes that may affect the schedule.
08Intellectual Property
Upon receipt of all payments due, ownership of the final, custom-designed assets created specifically for your project is transferred to you, to the extent permitted by any underlying third-party licenses.
You confirm that all content, images, text, and materials you provide to us are either owned by you or that you have the necessary rights to use them. You remain solely responsible for any copyright or intellectual property claims arising from materials you supply.
Bit2Byte reserves the right to display your completed project in our portfolio and marketing materials unless a written non-disclosure or confidentiality agreement is in place.
09Confidentiality & Privacy
We treat all client information as confidential and will not disclose sensitive business details to third parties, except where required by law or where necessary to deliver the agreed services (for example, when using a trusted third-party tool or service).
For details on how we handle personal data, please refer to our practices in line with applicable data protection laws.
10Refund & Cancellation Policy
As web design is a custom, time-based service, the initial advance payment is non-refundable once work has commenced, as it covers scheduling, planning, and the work already performed.
If you wish to cancel a project after work has begun, you will remain liable for payment for all work completed up to the date of cancellation, and any deliverables created to that point may be released to you upon settlement of the outstanding balance.
If Bit2Byte is unable to deliver the agreed services for any reason, any advance paid will be refunded proportionate to the work not completed.
11Limitation of Liability
To the fullest extent permitted by law, Bit2Byte, its owners, and its team shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with our services or this website.
Our total liability for any claim arising from a project shall not exceed the total amount actually paid by you to Bit2Byte for that specific project. We are not responsible for losses arising from third-party services, hosting downtime, or factors outside of our control.
12Termination
Either party may terminate a project by giving written notice to the other. In the event of termination, the client will pay for all work completed up to the date of termination, including any non-refundable advance already paid.
Bit2Byte reserves the right to suspend or terminate services immediately if the client engages in unlawful activity, breaches these terms, or behaves abusively towards our team.
13Third-Party Tools & Services
Our websites and services may integrate with third-party tools, plugins, fonts, hosting platforms, and analytics services. We are not responsible for the availability, accuracy, or functioning of these third-party services, and their use is subject to their own terms and privacy policies.
14Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our practices or for legal reasons. The latest version will always be available on this page, with the "Last updated" date revised accordingly. Continued use of our services after changes are made constitutes acceptance of the updated terms.
15Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in the city from which Bit2Byte operates.
